Ryvopay Card Authorized User Terms (“Authorized User Terms”)

These Ryvopay Card Authorized User Terms (“Authorized User Terms”) are between you (“you” or “your”), Ryvopay (“Ryvopay”, “we”, or “us”), and the Issuer (“Issuer”). These terms govern your access to and use of the Ryvopay Card and Card Services and are incorporated by reference into the Card Terms and the Ryvopay Terms of Service available at www.ryvopay.com.
These terms apply to both U.S. and international businesses, with jurisdiction-specific provisions detailed in the addendums at the end of this document.

The Ryvopay Card is issued to the Company under the Card Terms. The Ryvopay Card is issued by Third National (“Issuer”).
Your use of the Card Services is exclusively on behalf of the Company and for business purposes only. You agree to comply with these Authorized User Terms, the Card Terms, and the Ryvopay Terms of Service.

Access is limited to users authorized by the Company and Ryvopay. Either party may suspend or terminate access at any time without notice.

5. Electronic Signature

You consent to the Ryvopay E-Sign and Electronic Communications Notice.

6. Use of Personal Information

You authorize Ryvopay to receive and use your personal data for identity verification, compliance screening, and program eligibility purposes, in accordance with the Ryvopay Privacy Policy at: Privacy Policy.

7. Use of the Ryvopay Card

You may not use the Ryvopay Card:

You must protect your login credentials and card details. Notify Ryvopay immediately at: Support@ryvopay.com if your card or account is compromised.

9. Communications

You consent to receive electronic communications, including alerts, SMS messages, and push notifications.

10. Commercial Use Only

Ryvopay Cards are commercial cards. Consumer financial protection laws do not apply.

11. Suspension and Termination

Ryvopay may suspend or terminate your access at any time. Termination of the Company’s card program also terminates these Authorized User Terms.

12. Limitation of Liability

Ryvopay, the Issuer, and affiliates limit liability to the extent permitted by applicable law and as described in the Ryvopay Terms of Service.

13. Dispute Resolution

You agree to binding arbitration and waive rights to jury trial and class action participation, as outlined in the Card Terms.

14. Governing Law (Universal Clause)

The governing law applicable to your use of the Ryvopay Card depends on your business location, detailed in the addendums below.

U.s. Business Addendum

This addendum applies only to businesses located in the United States or U.S. territories.
U.S. Governing Law
For U.S. businesses, these Authorized User Terms are governed by the laws of Puerto Rico, without regard to conflict-of-law rules.
Any judicial proceedings excluded from arbitration must be brought in a state or federal court located in Puerto Rico unless the parties agree otherwise.
U.S. Compliance Requirements
U.S. users must comply with:

International Business Addendum

This addendum applies only to businesses located outside the United States.
International Governing Law
For international businesses, these Authorized User Terms are governed by the laws of the jurisdiction where the Issuer is regulated, unless the Company has agreed separately to Ryvopay’s U.S. jurisdiction.
The Issuer’s governing law and regulatory disclosures will be provided as part of onboarding or local compliance documentation.
