Terms and Conditions – Ryvopay

1. Introduction

These terms and conditions govern the use of the Ryvopay Processing Website (“the Website”) provided by Ryvopay (“we,” “us,” or “our”).
Please carefully read and understand these terms before using the Ryvopay services.
Your use of the Website constitutes acceptance of these terms.
If you do not agree, please refrain from using the Ryvopay services.

2. Parties

This Agreement is between the Customer (“you”) and Ryvopay, operating under the following registered details:

Ryvopay reserves the right to modify these Terms at any time.
All amendments will be posted online, and continued use implies acceptance.

4. Provision of the Service

a. Use of the Ryvopay Processing Website is currently free. Any applicable charges will be clearly communicated before selecting services.
b. Customers gain access to the services listed on the website for Ryvopay to provide services to you (“the client”).
c. The Customer is responsible for transmitting payments to Providers as per the agreed terms. Ryvopay bears no responsibility for payment transmission to third-party Providers.

5. Customer Obligations

a. The Customer must complete a registration or onboarding process, including creating an account password where required.
b. Information provided must be accurate and kept updated.
c. Passwords are confidential, and any unauthorized access must be immediately reported to Ryvopay.
d. Ryvopay does not store unnecessary client data and is GDPR compliant.

6. Intellectual Property Rights

a. All intellectual property rights in the Ryvopay Processing Website, content, and software remain with Ryvopay.
b. Reproduction or use of the service beyond these terms is prohibited.
c. Trademarks such as “Ryvopay,” “ryvopay.us,” and all logos are owned by Ryvopay and must not be used without written permission.

7. Termination

a. Ryvopay may suspend or terminate services if fraud or misuse is suspected.
b. Termination does not affect any rights or obligations accrued prior to termination.

8. Limitation of Liability

a. Ryvopay strives for accurate information but does not guarantee completeness or suitability.
b. Ryvopay is not liable for any loss or damage resulting from:

This Agreement does not establish any partnership, joint venture, or agency relationship between you and Ryvopay.

10. Data Protection

Ryvopay adheres to applicable data protection laws.

11. Assignment

The Customer cannot assign rights under this Agreement.
Ryvopay may assign its rights to any person or entity.

12. Force Majeure

Ryvopay is not liable for failures caused by events beyond reasonable control, including natural disasters, war, terrorism, regulatory changes, or network outages.

13. Entire Agreement / No Waiver

This Agreement supersedes all prior agreements.
Failure by Ryvopay to enforce any provision does not release the Customer from obligations.

14. Notices

All notices under this Agreement must be delivered in writing.

15. Governing Law

This Agreement is governed by the laws of the EU.
Both parties submit to the non-exclusive jurisdiction of EU courts.

16. Refund Policy

a. Ryvopay values customer satisfaction and will aim to resolve issues promptly.
b. Refund requests must be made within 10 days of original purchase, either online or in person where applicable.
c. Eligibility for refunds depends on product/service-specific rules. Digital or customized services may not be eligible.
d. Refunds are issued only if the service was not completed.
e. Refunds are issued to the original payment method and may take 7–14 business days.
f. Ryvopay may refuse or cancel refunds if abuse or wrongdoing is suspected.
g. Refused transactions may result in service suspension.

17. Purchase of Services or Goods

These terms apply to purchases made online or, when applicable, in person via a card reader.
Fees are based on standard banking rates.

18. Invoicing and Payment

a. Invoices for services are payable immediately unless otherwise stated.
b. A detailed invoice is issued upon completion of services.
c. Payments may be made online or, if applicable, through a terminal provided by Ryvopay.

19. POS (Point of Sale)

Ryvopay offers secure and user-friendly order fulfillment processes, including:
Payment at trade shows or events may be accepted depending on available payment options.

Card Processing Terms and Conditions – Payment Gateway

1. Introduction

These Card Processing Terms govern the card processing services (“Services”) provided by Ryvopay to merchants (“you,” “your”).
By using these Services, you agree to be bound by these Terms.

Ryvopay adheres to PCI DSS security requirements to protect cardholder data.

6. Immediate Payments

Immediate payments depend on acquiring bank timelines and compliance.
Work begins immediately once payment instructions are provided.

7. Rolling Reserve

Ryvopay applies a rolling reserve to ensure financial stability.
The reserve percentage and release period (typically 7–10 days) depend on business risk.

8. High-Risk Merchants

High-risk merchants may be subject to:

Chargeback amounts may be deducted from your rolling reserve or account balance.
You are responsible for managing disputes as per card network rules.

11. Fees and Charges

Fees must be paid as per the provided pricing schedule.
Ryvopay may change its fee structure at any time.

12. Termination

Ryvopay may terminate services with or without cause.
Remaining balances (minus reserves/fees) will be settled upon termination.

13. Limitation of Liability

Ryvopay is not liable for indirect, incidental, or consequential damages.
Liability is limited to service fees paid within the last three months.

14. Chargeback Threshold

Ryvopay will not accept merchants with chargebacks exceeding 0.3% of total transactions.
Exceeding this rate may result in termination or increased reserves.

15. Governing Law

These Terms are governed under EU law.

16. Amendments

Ryvopay may amend these Terms at any time. Continued use constitutes acceptance.

Payment Account and Card Terms and Conditions

1. Definitions

1.1. The Terms and Conditions use the definitions below:
1.1.1. Agreement means an agreement (separate agreement or part of another services agreement) concluded between the Partner and the Client regarding the provision of services to the Client and all its appendices.
1.1.2. Authentication is the performance of operations that enable the Cardholder to be identified and/or the validity of the Card issued to the Cardholder to be established.
1.1.3. Account means a virtual account held in the Wallester System in the name of the Client for the purpose of providing services under this Agreement.
1.1.4. Means of Authentication means information or tools enabling the Cardholder to authenticate, prove the validity of the Card, or authorize Operations (e.g., PIN, CVV, one-time code).
1.1.5. Authorisation means the process of giving the Cardholder permission to execute an Operation.
1.1.6. Available Funds means the amount of funds available in the balance for Operations.
1.1.7. Card means a Visa payment instrument issued by Wallester, either Chip&Pin or Virtual.
1.1.8. Card Data includes the Cardholder’s name, Card number, expiration date, and security features.
1.1.9. Cardholder means a person authorized by the Client to use the Card on behalf of the Client. The Client is responsible for all Operations performed by the Cardholder.
1.1.10. Chip&Pin Card means a physical Visa Card requiring a PIN for authorization and may support NFC.
1.1.11. Client means a customer of the Partner (Ryvopay) who has entered into the Agreement.
1.1.12. Digital Wallet refers to services such as Apple Pay, Google Pay, Samsung Pay, etc.
1.1.13. Imperative Norms are mandatory legal rules that cannot be overridden by agreement.
1.1.14. Near Field Communication (NFC) enables contactless transactions.
1.1.15. Operation means using the Card to pay, withdraw cash, or access information.
1.1.16. Partner means Ryvopay, the contractual partner of Wallester.
1.1.17. Partner’s Website means any website operated by Ryvopay to provide services to Clients or Cardholders.
1.1.18. Partner’s Application means any app operated by Ryvopay for service access.
1.1.19. Payment Card Terms and Conditions refers to this document.
1.1.20. Strong Authentication means authentication based on at least two independent security elements.
1.1.21. Terminal means an ATM, POS terminal, or online environment supporting Visa operations.
1.1.22. Virtual Card means a Card with digital-only credentials.
1.1.23. Visa refers to Visa Europe Ltd.
1.1.24. Wallester means Wallester AS, the licensed payment services provider.

2. The Account

2.1. Wallester opens an Account for the Client solely for performing Operations.
2.2. Funds in the Account are not insured and do not earn interest. Client funds are safeguarded in segregated bank accounts.
2.3. Available Funds and Operation history are visible in the Wallester System or App.
2.4. Clients may top up the Account only from EU/EEA/UK bank accounts in their own name. All top-ups undergo anti-fraud checks.
2.5. Clients may transfer funds to other Wallester users if enabled.
2.6. Fees may be deducted from Available Funds according to Wallester’s price list.
2.7. Clients are responsible for all activities performed in the System or App.

3. Use of the Card

3.1. Only authorized Cardholders may perform Operations.
3.2. Cards are issued with authentication methods (PIN, CVV). They may be delivered by post.
3.3. Card activation must be completed via Ryvopay’s Website or App.
3.4. Operations are limited according to rules set by Ryvopay.
3.5. Strong Authentication is required except for certain contactless limits.
3.6. If insufficient funds exist, some merchants may decline split payments.
3.7. Once an Operation is authorized, it cannot be reversed unless the merchant agrees.
3.8. Cardholders must present ID when required.
3.9. Wallester may refuse Operations if the Card is invalid, blocked, suspected of illegal use, exceeds limits, or violates terms.
3.10. Wallester may block the Card if misuse or fraud is suspected.
3.11. If issues persist, Wallester may close the Card.
3.12. Wallester is not liable for damage caused by blocking or closing the Card acting in good faith.
3.13. Wallester assumes all Operations are performed by the Cardholder until reported otherwise.
3.14. Additional fees (such as ATM balance inquiries or Visa conversion fees) may apply.

4. Security Requirements

4.1. Cardholders must:
4.2. Lost or stolen Card details must be reported immediately to Ryvopay.
4.3. Wallester will block the Card once notified.
4.4. Wallester or merchants may refuse Operations if misuse is suspected.
4.5. Wallester complies with PCI DSS 3.2 security standards.

5. Card Validity and Replacement

5.1. Cards remain valid until the last day of the printed month.
5.2. After expiration:
5.3. Wallester may refuse new Cards if the Client violates terms.
5.4. Clients must notify Ryvopay 45 days before expiration if they do not want a replacement card.
5.5. Cards not activated for 3 months may be destroyed.
5.6. Clients must physically destroy invalid or closed Cards.

6. Digital Wallet

6.1. Digital Wallet use is optional and subject to additional terms.
6.2. Wallester does not charge extra for wallet use; third-party providers may.
6.3. Wallester is not responsible for Digital Wallet performance.
6.4. Cardholders are responsible for securing their devices.
6.5. Wallet-related issues must be directed to the Digital Wallet provider.

7. Entry Into Force, Amendment and Termination

7.1. Terms apply once the Agreement between Ryvopay (Partner) and the Client is signed.
7.2. Wallester may update terms with 2 months’ notice. Clients may terminate immediately during this period.
7.3. Wallester may terminate services with 2 months’ notice.
7.4. Immediate termination applies if:

7.6. Termination does not cancel previous financial obligations.
7.7. Termination of the Partner Agreement (Ryvopay) terminates these card terms.

8. Liability

8.1. Wallester is not responsible for failed Operations caused by:

8.3. If unauthorized use occurs and the Cardholder was negligent, the Client may be liable up to €50 unless fraud is involved.
8.4. Ryvopay (Partner) is responsible for its obligations—Wallester is not responsible for Partner failures.

9. Anti–Money Laundering Requirements

10.1. Statements are available on Ryvopay’s Website or App.
10.2. Clients must report incorrect Operations immediately.
10.3. Refund claims must be directed to the merchant when applicable.
10.4. Disputes unresolved through negotiation will be handled by Estonian courts.
10.5. Estonian law applies unless overridden by Imperative Norms.

11. Identification via Technology

11.1. Identification via digital tools does not obligate Wallester to provide services.
11.2. Identification follows Estonian AML laws.

12.1. Both parties must keep Agreement-related information confidential unless disclosure is legally required.
12.2. Wallester may disclose information to authorized third parties.

12. Final Provisions

12.1. Both parties must keep Agreement-related information confidential unless disclosure is legally required.
